International Licensing Terms
The license agreement has been drafted to grant license holders as much creative freedom as afforded under law. License holders may adapt Positive Action in any way they see fit for their country. There are provisions that prevent certain types of dissemination.
Language and Territory
License holders in non-English speaking countries may not disseminate Positive Action content in English. The source files are for development purposes only. The content must be translated into a second language.
In the event that a license holder must serve English along with a translated version, an additional license is required for English language dissemination.
In the event that a license holder must serve content in two or more translated languages, an additional license is not required for the additional translated language(s).
In the event that a license holder has translated content into a language that is shared with other countries, the translated content may be marketed to other license holders via the online community. A license holder cannot disseminate translated content in countries where they do not hold the license.
The license agreement allows the license holder to disseminate Positive Action content on a traditional website or an application. There are restrictions for English speaking countries.
License holders in English speaking countries must serve Positive Action content behind a pay-wall or a private intranet. The hosting and network infrastructure must be secured with the latest in security protocols.
License holders that do pursue digital distribution will be liable for the cost of an annual server and network penetration test. If a license holder is found to be non-compliant, the license holder must cease dissemination until the problems are remedied. This is to ensure that the Positive Action intellectual property is protected for all license holders.
Positive Action content cannot be used for political purposes.
Positive Action content cannot be used with a religion, or disseminated with religious writings.
Positive Action content cannot be advertised, promoted or disseminated in places of worship.
If a license holder is found to be engaged in a prohibited activity, the license agreement is immediately terminated and any derivative works become property of Positive Action, Inc.
Positive Action, Inc. reserves the right to all other legal remedies.
In English speaking countries, no co-branding is permitted.
In non-English speaking countries, co-branding is permitted but the license holder may not co-brand with products from a prohibited industry.
If a license holder ceases operations for any reason, the license is terminated and any derivative works become property of Positive Action, Inc.
A license may be re-assigned, with the explicit permission of Positive Action, Inc. Any party that wishes to purchase a license must meet the eligibility criteria.
The terms of the transaction must be disclosed to Positive Action, Inc.
Any transaction with a valuation lower than the original valuation is subject to a 10% transaction fee.
Any transaction with a valuation higher than the original valuation is subject to a 20% transaction fee.
The transaction fee can be paid by either the buyer or the seller.
